Department Overview

TD Securities' dedicated Private Placements team operates within the Equity Capital Markets Group and advises clients on the origination, structuring, marketing and execution of equity and equity-related private capital solutions. The team works closely with TD Securities Investment Banking and Institutional Sales and Trading professionals to deliver tailored solutions for our clients. The Private Placements business is a key building block in the firm's strategy to deliver end-to-end solutions for its North American clients.

Job Description

• Assist members of the team in originating and growing TD's equity Private Placement business.
• Structure and execute bespoke private capital solutions including growth equity, sponsor PIPEs, secondaries, platform formation, structured equity/balance sheet recapitalizations, and acquisition financing.

Job Requirements

• Prepare marketing and deal-related materials in partnership with banking and other product teams, including positioning of the story, refining model and valuation, and leading term sheet negotiation with counsel.
• Possess a deep understanding of market and industry developments in order to screen potential opportunities, understand and identify key risks of potential transactions, assist in due diligence, and prepare market updates and pitches.
• Maintain a strong network and dialogue with private placement investors.
• Present transaction updates to clients and, with the assistance of the junior team, keep track of investor interactions.
• Position is fully informed on market data, economic information and key industry developments as well as regulatory standards at all times to assist in maximizing profitability through sound and well-informed decisions.
• Understand and comply with TD Policies, regulatory and compliance requirements.

Qualifications

• The candidate will have a minimum of 5 to 7 years of relevant experience in investment banking or capital markets
• The candidate must possess superior communication and interpersonal skills as well as the leadership and project management skills to drive project execution under strict deadlines within a high-pressure environment
• The candidate should also be proactive and energetic, with a team mentality and desire to take an active role in helping grow the business and achieving revenue targets
• Excellent knowledge of financial modeling and Microsoft Office (Excel, Powerpoint and Word) is also required
• Prior experience with Private Placements as well as a strong network of investor contacts are desired
