The Deals group within Tax Reporting & Strategy (TRS) is comprised of subject matter specialists that provide planning and implementation consulting during every stage of the M&A lifecycle between the signing of the deal through full integration or separation. Projects include consulting on acquisitions, divestitures, spin-offs, IPOs and legal entity strategy & simplification.

Demonstrates extensive abilities and/or a proven record of success in the following areas:
- Tax issues facing multinational U.S. companies or publicly traded companies in the areas of Subchapter C, ASC 740 and ASC 740-10;
- M&A practices, including corporate M&A, private equity, post deal integration, bankruptcy and corporate insolvency;
- Tax organizational design, process improvement, controls, risk management, tax strategy and implementation of software;
- The application and interpretation of U.S. federal income tax law as it relates to Subchapter C corporations, Subchapter S corporations, partnerships, consolidated groups, corporate bankruptcies and insolvencies and legal entity reorganizations;
- ASC 740 and ASC 740-10 provision preparation and review, tax basis balance sheet preparation and review, and corporate tax compliance preparation, review and planning;
- Experience with the application of ASC 740 during the transaction lifecycle including pro forma financial statements, purchase accounting and opening balance sheet, carve-out financial statements, held-for-sale classification, and discontinued operations;
- Tax technology implementations, including selection of software packages, assessments of processes and data flows, tax systems implementation and configuration and digital tax transformation;
- Tax-related data analytics; and,
- Implementation of ERP Systems (such as SAP and Oracle) and tax-related applications such as OneSource, Corptax, Hyperion Tax Provision, Longview Tax, etc.
Demonstrates extensive abilities and/or a proven record of success in identifying and addressing client needs by:
- Developing and sustaining deep client relationships using networking, negotiation and persuasion skills to identify and sell potential new service opportunities;
- Preparing and presenting complex written and verbal materials;
- Defining resource requirements, project workflow, budgets, billing and collection;
- Leading teams to generate vision, establish direction and motivate members, create an atmosphere of trust, leverage diverse views, coach staff and encourage improvement and innovation; and,
- Utilizing effectively written and verbal business communication skills, including interacting with clients and firm staff and/or management.
Demonstrates extensive abilities and/or a proven record of success in automation & digitization in a professional services environment including but not limited to:
- Innovating through new and existing technologies, along with experimenting with digitization solutions;
- Working with large, complex data sets to build models and leverage data visualization tools to provide insights to clients; and,
- Utilizing digitization tools to reduce hours and optimize engagements Knowledge of alternative fee arrangements, including the use of pricing tools, to provide a point of view on pricing strategies.
