Job Description
SUMMARY DESCRIPTION : A Senior Paralegal leads the provision of legal administration services for Ultimus’ mutual fund clients. A Senior Paralegal leads the preparation of board materials and regulatory filings, manages regulatory calendars, provides general legal, filing and governance support, and handles other client-related matters.
ESSENTIAL DUTIES AND RESPONSIBILTIES:
? Prepares client registration statement updates;
?Prepares other client SEC filings and forms;
? Prepares and distributes client board and committee materials (including agendas, exhibits, reports and resolutions);
?Prepares minutes of client board and committee meetings;
?May be asked to attend board and committee meetings by telephone or, if client requests, in person, in order to record notes;
?Serves as a primary legal contact for designated clients and a diplomat for Ultimus;
? Coordinates with clients, fund counsel, Ultimus teams and other fund service providers with respect to fund issues and assists with the resolution of client issues;
? Maintains contractual agreements and corporate governance documents;
?Manages regulatory calendars and filing processes;
?Assists in the development and oversight of legal administration procedures relating to board meetings, corporate governance and SEC filings;
?Leads and assists with projects as needed; and
?Performs daily legal administration operations.
KNOWLEDGE AND SKILLS:
?Thorough understanding of the day-to-day legal administration services provided by Ultimus;
?Thorough understanding of relevant statutes and rules relating to the core job functions;
?Sound knowledge of the financial services industry and client service and the ability to exercise good judgement;
?Strong client service skills with an aptitude to understand the clients’ basic legal needs and how they are related to the clients’ business needs;
?Ability to organize and prioritize work and assist in the coordination of the work of other team members;
? Ability to multi-task while maintaining careful attention to detail;
?Ability to work effectively both individually and within a team environment;
? Ability to work with minimum direction from an attorney;
?Ability to work with a sense of urgency to meet deadlines and address competing priorities;
?Proficient skills with Microsoft Office software including Word, Excel, PowerPoint and Outlook;
? Strong written, listening and verbal communication skills; and
? Strong problem solving, project management and organizational skills.
QUALIFICATIONS:
?A minimum of five years of paralegal or legal administration experience in a corporate or law firm environment is required;
?A minimum of five years of experience with the Investment Company Act of 1940 is required;
? An associate degree from an accredited college or university is required;
?A bachelor’s degree from an accredited college or university is preferred;
? A paralegal certificate from an accredited school, college, or university is preferred;
? Proficient in Microsoft Office Suite;
? Strong written and oral communication skills, research skills and attention to detail are required; and
?Ability to work in a fast-paced environment and handle/manage multiple team and individual priorities and deadlines.
