Job Description
JOB TITLE Project Coordinator, Legal JOB SUMMARY
The Project Coordinator (Legal) will be responsible for supporting and coordinating internal activities related to corporate governance and legal compliance for Scripps Research. In addition to providing project coordination and executive administrative support to legal leadership, this role will act as Reporting Secretary to the Institute’s Board of Directors meetings and Board Committee meetings. This position will also assist in day-to-day operations, compliance, and legal matters as directed by the Compliance Counsel. RESPONSIBILITIES AND DUTIES
  • Lead special projects with cross-functional teams as directed by the Compliance Counsel.
  • Coordinate document collection and interviews for the Institute’s internal audits.
  • Coordinate high level meetings, including executive and board meetings, and other legal department meetings.
  • Prepare a wide variety of reports, memos and other documents while maintaining confidentiality.
  • Provide a high level of project oversight and administrative support to the legal and compliance management team.
  • Prepare materials for Board of Director and Board Committee meetings, including resolutions, executive summaries, and other related documents.
  • Attend Board and Committee meetings as Recording Secretary, and compile/maintain Board minutes and other corporate governance documents.
  • Research and understand state and federal laws and regulations related to corporate governance to determine the effect on the Institute; assist with the design and implementation of procedures to enhance and ensure compliance with various legal requirements.
  • Provide support for corporate governance matters; prepare and file documents with various government and regulatory bodies as needed.
  • Assist in maintaining and tracking Director Conflicts of Interest disclosures.
  • Work with internal legal and compliance functions to manage responses to external and internal audits, and litigation-related requests.
  • Assist the compliance department in drafting and updating Institute policies and other compliance documents.
  • Assist with compliance training and tracking of training requirements.
  • Coordinate invoicing and payment administration for outside counsel, consultants, vendors, and corporate filing expenses.
QUALIFICATIONS
  • Bachelor’s degree, preferably in business administration, political science, or economics, or the equivalent combination of education, training, and experience.
  • A minimum of 2-5 years’ experience working in the biotech industry, a scientific research institution, an organization supported by federal grants, a corporate legal department, and/or high-volume law firm.
  • Paralegal or similar certificate preferred.
  • Experience with Export Control Regulations a plus.
  • Experience supporting board activities preferred but will train as needed.
  • High degree of professionalism, integrity and discretion required as this position will be handling confidential and sensitive information and interacting with executive leadership team and board of directors.
  • Ability to learn quickly and willingness to learn new information.
  • Excellent skills in research, analysis, organization, attention to detail, decision-making, and problem-solving.
  • Effective time management skills handling competing priorities and delivering on tight deadlines.
  • Must possess a cooperative, service-oriented attitude.
  • Ability to communicate (written and verbal) in a clear and concise manner.
  • Ability to work independently and automatously.
  • Advanced proficiency using MS Office tools and experience working with hosted board portals (preferably Diligent Boards or other software system used to compile board materials).
