Endeavor Business Media is looking for a Director of Contracts to coordinate the negotiation and administration of contracts across diverse business units and departments for enterprise contract life cycle management. You will play a key role serving as a subject matter expert on the business agreements and commercial contracts that generate revenue and source the goods and services that keep operations functioning smoothly. In this role, you will be both customer facing, negotiating to align customer requirements with Endeavor business necessities while mitigating risk to the enterprise. You will assist the Chief Administrative and Legal Officer and work closely with other members of the Legal department with ongoing and new projects that aim to constantly be improving our policies, processes, and people experiences. You will be expected to timely and appropriately respond to internal inquiries requiring contract review and proactively communicate with customers and vendors to ensure accuracy and timeliness of information and services to EBM employees.
Duties/Responsibilities:
- Working under the direction of the Chief Administrative and Legal Officer (CALO) to draft, revise and negotiate agreements, amendments and supporting documents. Agreements range from customer MSAs, customer proposed changes to EBM standard T&Cs, NDAs, DPAs, leases, licenses, mergers, acquisitions, customer changes, customer agreements, vendor agreements, and more.
- Review and edit for business requirements and regulatory impact. Ensure appropriate insurance documentation exists in contracts. Coordinate with customers’ authorized representative and/or attorney and internal sales and operations teams to obtain necessary information to assist with the preparation of contracts and amendments.
- Clarify and resolve contract issues and conflicts with customers’ authorized representative and/or attorney as requested during contract negotiations through face-to-face meetings, conference calls and written explanations.
- Prepare and coordinate proposed contract revisions for approval by client’s authorized representative and/or attorney and CALO, sales, and operations team. Prepare and finalize legal documents for signatures.
- Establish and maintain an electronic database of all executed agreements. Coordinate with legal department paralegal to maintain accurate database of executed agreements and operationalize key information and metrics so that contracts can be utilized for data-informed decision-making by stakeholders.
- Coordinate with legal dept paralegal to conduct research on relevant legislative issues or statues, developments in contract law, and legal rights and obligations of corporations.
- Responsible for contract life-cycle operations management (accessibility, knowledge base, risk awareness & renewal process). Assist in developing strategies and implementation plans to improve and standardize all aspects of contract (customer and vendor) operations. Ensure that operational processes stay within agreed upon budgets and timelines. Implement, manage, and evaluate contracts operation processes and procedures, in accordance with the standards and procedures set out by the organization. Coordinate with paralegal to ensure contract file management and information governance supports operational needs.
- Work closely with VP Sales Operations to ensure commercial agreements are tied into MagHub strategy.
- Identify emerging control issues and report them to upper management and business stakeholders. Collaborate with the Company’s technology and information security team to perform ongoing analysis of risk trends and legal compliance, as well as forecasting of future potential issues., Lead audits, assess risk, and draft reports in a timely manner.
- Update and maintain standard contract templates as approved by the CALO, including regular cadence of review and update standard enterprise form templates used in customer/commercial agreements to ensure compliant with current regulatory requirements and case law as well as reflecting current business products and services.
- Integration management – Responsible for contracts review during M&A due diligence. Support divestiture diligence response requests relating to contracts. Develop plan and work with accounting, technology shared services and business unit teams to manage transition around vendors and commercial agreements. Integrate acquisition contracts into EBM contracts database system.
- Provide training and guidance to employees on using enterprise template contracts and contract compliance-related issues. Conduct training as needed with business unit teams to understand changes to enterprise standard template agreements.

Required Qualifications:
- Bachelor’s degree in Business Administration, or in a related field or equivalent work experience.
- >10 years of experience in business administration and/or contract negotiation
- Extensive knowledge of B2B publishing agreements and applicable law. Solid understanding of key contractual provisions and applicable legal interpretation thereof and demonstrated legal research abilities.
- Proficient with Microsoft Excel, and other MS Office programs (Outlook, Word, Access, PowerPoint), and familiarity with other packages necessary for analyzing data to support decision making such as PowerBI a plus.
- Experience with process improvement initiatives; Certifications in Legal Operations or Project Management a plus. Such certifications may include Certified Professional Contract Manager (CPCM), Legal Operations Professional (LOP) or Project Management Professional (PMP).
- Prolonged periods sitting at a desk and working on a computer.
- Some travel on occasion required.
