As Starbucks director, corporate counsel – Corporate and Securities , you will work collaboratively with cross-functional teams to provide counsel on complex, strategic transactions, corporate governance, and securities law matters; ensure compliance with public company reporting and disclosure requirements; and assist with the facilitation of finance and treasury operations.

In this role, you will:

  • Serve as primary internal counsel for a wide range of corporate transactions including mergers and acquisitions, investments, joint ventures and debt offerings
  • Provide support to the Starbucks Board of Directors and the Starbucks executive leadership team on matters including the preparation and review of materials for meetings of the Board and its Committees
  • Manage Starbucks portfolio of global subsidiaries
  • Collaborate and assist with the drafting of SEC filings, including Forms 10-K, 10-Q and 8-K
  • Assist with proxy statement preparation and participate in the annual meeting process
  • Assist the legal team in conducting securities offerings, preparing registration statements and managing other activities related to equity transactions
  • Assist in the management of the company’s insider trading policy, blackout and preclearance processes, 10b5-1 trading plans, related party transactions and preparation of associated policies, communications and training materials
  • Advise on investor relations materials including press releases, investor presentations, annual reports, earnings announcements, investor call scripts and other communications
  • Advise management on executive and director compensation, director independence, related party transactions, and other corporate governance matters

In this role, you will also have the opportunity to provide business-oriented advice to a variety of client groups who manage complex businesses and third-party relationships to deliver the Starbucks brand to customers across a series of unique markets. Preferred candidates will have relevant experience in both law firm and in-house public company environments and will have significant experience with strategic transactions, corporate finance, corporate governance and the federal securities laws. This role requires the exercise of sound judgment in a dynamic environment, the desire to learn and understand the Starbucks business and the ability to orient your work and advice to the goals of Starbucks and its client teams.

Leveraging your previous experience, we will enable you to:

  • Guide – Provide strategic legal counsel to clients across Starbucks, including the executive leadership team, and partners across the business and the Starbucks Law & Corporate Affairs (L&CA) department.
  • Collaborate – Team with other partners, both inside the Starbucks L&CA department and across the company, to provide cross-functional support for Starbucks business.
  • Be a Trusted Advisor – Help achieve business objectives and mitigate risk by acting as a trusted advisor whose counsel is proactively sought out by clients.

We’d love to hear from people with:

  • A minimum of 8 years of relevant substantive legal experience, including in law firms and serving as in-house counsel at a U.S. public company
  • Experience leading complex transactions, preparing securities filings, overseeing compliance with SEC rules and stock exchange requirements, and providing advice and counsel on securities and corporate governance matters
  • The ability to deliver high quality work in a fast-paced environment while effectively meeting deadlines and adapting to evolving priorities
  • Experience managing legal professionals and cross-functional teams or projects
  • J.D. from accredited law school
  • License to practice law in pertinent jurisdictions
