Overview:
Great opportunity in our Los Angeles office! We are in need of a Corporate Paralegal. This role will be responsible for handling all general corporate paralegal work for our practice. We are seeking highly motivated individuals who love a challenge and working in the corporate arena! Please see below for a list of duties and a look into what your day to day will comprise of.
Responsibilities: Your Corporate Paralegal Duties and Responsibilities:

Handles all corporate formations, general corporate matters, board minutes, stock transfers, etc.

  • Assist with corporate transactions including mergers & acquisitions, capital market transactions, venture capital investments, financing and private equity
  • Create and maintain and update capitalization records
  • Form, merge and dissolve entities
  • Maintain closing files for corporate transactions
  • Maintain closing checklists
  • Supervise filing of documents with government entities
  • Retrieve public records
  • Prepare and file UCC Financing statements
  • Prepare and file Section 16 notices and other security filings
  • Perform research of UCC and laws governing business organizations
  • Review corporate public records and draft analyses
  • Maintain corporate minute books
  • Perform UCC/lien searches
  • Coordinate documents retrieval from government agencies and prepare government filings
  • Administrative items as needed

Qualifications: Preferred Education and Experience:
1. Minimum of 3-5 years of corporate and transactional experience required.
2. Paralegal Certificate preferred.
3. Microsoft Suite experience required.
