What the role entails: :
    • Accurately completing work assigned by multiple attorneys, including:
      • Obtaining, organizing, and indexing due diligence documents
      • Ordering and reviewing lien tax and judgements searches
      • Drafting secretary’s and officer’s certificates and maintaining and updating stock ledgers and corporate books
      • Drafting charter documents and amendments to charter documents
      • Interfacing with outside service companies to file and retrieve documents and assisting with apostille procedures
      • Assisting with and preparing answers to audit letters


    • SEC filings and related documents:
      • Organizing exhibits for regulatory filings
      • Obtaining EDGAR codes
      • Coordinating distribution to exchange and interested parties.
      • Proof reading and editing the Edgar proofs/SEC filings
      • Drafting tender offer ancillary documents and coordinating mailing to security holders.
    • Transactional / Closings:
      • Organizing and preparing pre-closing and post-closing materials and related activities including but not limited to:
        • Coordinating notarization activities
        • Drafting closing statements and other related documents, including secretary's certificates and officer’s certificates
        • Issuing stock certificates and updating stock ledgers
        • Coordinating and assisting with signature pages
        • Preparing closing sets or bound volumes
        • Assisting with mailing(s) to security holders
        • Maintaining and updating internal records and corporate books
      • Assisting with retrieval and drafting of charter documents and amendments to charter documents
      • Assisting clients with IRS application for Employer Identification Number (EIN)
      • Preparing and assisting with UCC filings.
    • Assistance with Corporate Documentation:
      • Assisting with formation and dissolution of corporations, LLCs and other business entities
      • Drafting annual board, shareholders’ and members’ resolutions and written consents,
      • Assisting with filing state annual reports
      • Assisting with foreign qualification filings
      • Coordinating with outside service companies to file and retrieve documents
    • Conducting research:
      • Summarizing bios or background / industry reports
      • Reviewing publicly available corporate and SEC documents and drafting corporate profiles
    • Compliance with and understands Firm operation, policies and procedures.
    • Performing other related duties as assigned or needed. Proactive in balancing multiple work demands, taking personal responsibility for the quality and timeliness of their work, and maintaining client and Firm confidentiality.
