Position Summary:

Under the direction of the Assistant General Counsel, the Corporate Counsel is responsible for advising internal clients on a broad range of legal issues affecting the company, assisting in leading the legal function within the organization, overseeing the work of outside counsel, and supporting the Assistant General Counsel in corporate strategic and tactical legal initiatives. You will manage day-to-day legal function, including analyzing commercial contracts, vendor agreements and other critical contracts for the company. Using experience in litigation, corporate transactions and/or health law, you will also provide legal expertise on a wide range of business and regulatory issues pertaining to the organization's operations, including federal and state fraud and abuse laws and regulations, privacy laws, and other areas of organizational risk, both domestically and internationally. You will also support in leading and coordinating responses to various constituents, including leading litigation and outside counsel.

Core Responsibilities

  • You will assist the Assistant General Counsel on the following:
  • Responsible for analyzing customer agreements, vendor agreements and other critical contracts and provides legal advice on same to ensure the company conducts its business in compliance with applicable laws and regulations.
  • Responsible for researching and analyzing applicable health care laws and regulations.
  • Provides legal support on all major business transactions, as needed, including but not limited to mergers and acquisitions, strategic alliances, both domestically and internationally.
  • Analyzes the merits of litigation matters filed against or on behalf of the company, works with the Assistant General Counsel, appropriate executive(s) and outside counsel to define a litigation strategy, budget and coordination with the business to acquire resolutions of disputes.
  • Disseminates legal information to internal clients to facilitate company compliance with applicable laws and regulations.
  • Assist in leading the company’s internal legal function and staff.
  • Assist in advising on the legal aspects of company financing, including assessing and advising on current and future business structures and legal entities.
  • Participates in the development of corporate legal policies and procedures and provides continuing legal counsel and guidance on legal matters and legal implications such matters.
  • Works cross-functionally with other departments to resolve problems and facilitate the provision of legal services by the Legal Department.
  • Follows all applicable company and departmental SOP’s.
  • Conducts analysis and revision on legal contracts to ensure all provisions are in accordance with Legal Department guidelines and company policies & procedures.

Requirements

  • Education: J.D. Degree from an accredited U.S. law school; admitted to the practice of law in Florida.
  • Three to five years’ experience as a practicing lawyer, preferably in health care and/or corporate law in a law firm before moving to an in-house position.
  • Exposure to or familiarity with the following areas of law: litigation, contracts, health care law.
  • Outstanding academic achievement and quality writing and analytical skills.
  • Experience dealing with judicial and/or regulatory agencies, preferred.
  • Excellent research, analytical, communication (written and verbal), interpersonal and project management skills.
  • Shown legal experience in a law firm environment.
  • Highly motivated and high-performance work ethic.
  • High degree of professional ethics and integrity.
  • Good judgment and analytical skills.
  • Excellent interpersonal and communication skills.

Certificate Requirements:

Bar licensure to practice law in FL required. Certification in health care compliance desirable.

Travel Required:

Medium- May require travel to subsidiary laboratory locations, 20% of the time.
