The Corporate Associate General Counsel Director is responsible for the day-to-day corporate contracting function, manages corporate litigation, oversees regulatory compliance and advises GuideOne Human Resources team and business leaders on hiring, terminations, disciplinary issues and employment related legislation and regulatory activities. A significant degree of independence, creativity and leadership is expected.

As GuideOne's Corporate Associate General Counsel, you will manage the following:

  • Contracts: Manages the day-to-day corporate contracting function, including drafting and review of all contracts and the negotiation of terms, including non-disclosure agreements, independent agent contracts, managing general agent/underwriter contracts,leases, software licenses and IT development statements or work (SOWs), and all vendor agreements.
  • Insurance Regulations: Day-to-day oversight of insurance regulatory compliance, including responses to department of insurance inquiries, policyholder complaints, market conduct and financial exams, monitoring state and federal legislation and regulatory changes to insure the company remains solidly in compliance, inter-company agreements, registration statements, and corporate governance filings (Forms B, C, D and F) and regulation related to the sale of insurance products and sales/marketing communications.
  • Employment Law: Works closely with HR business partners to provide advice on hiring, terminations, disciplinary issues, federal and state wage and hour and other employment related legislation and regulatory activities, state and federal EEOC inquiries, reviewing updates to the company employee handbook, and being the primary legal adviser to the Company’s Human Resources staff and Benefits Committee.
  • Corporate Litigation: Manages corporate litigation emanating from any third-party contracts, employment, or other forms of corporate (non-insurance policy related) litigation.
  • Trademark and Copyrights: Manages corporate application, renewal and use of copyrighted and trademarked materials.
  • General Corporate Governance: Works closely with the General Counsel on any resolutions, amendments and changes to articles and bylaws, intercompany agreements, and other company governance issues.

Education and Experience:

  • J.D. from an accredited law school
  • License to practice law in Iowa, or qualified to become licensed/registered as house counsel within 1 year of beginning position
  • CPCU designations a plus
  • Eight or more years of experience with contracts
  • Five or more years of experience in employment law required.
  • Two or more years of corporate litigation
  • Three or more years of commercial property and casualty insurance legal department or insurance-related law firm experience, or combination of both
  • Four or more years of supervisory/managerial experience preferred
  • Three or more years of Commercial Property & Casualty insurance regulatory experience required

Other Credentials and Job Requirements:

  • Demonstrated ability to interpret and apply complex legal concepts, practices and procedures
  • Comfortable working in a fast paced and demanding environment
  • Trusted business advisor – able to apply legal knowledge and experience to deliver advice in a helpful, legally compliant, ethical and timely manner
  • Employment law experience a significant plus
  • Excellent communication skills and presentation skills
  • Demonstrated leadership experience – able to appropriately influence material decisions
