Contracts Manager

The Role
As a Contracts Manager at 6sense, you will assist the General Counsel and legal team in preparing, reviewing, editing, organizing, developing, negotiating and finalizing a broad range of agreements in a growth-oriented and supportive legal environment which may include: order forms with our customers, non-disclosure agreements, master services (subscription) agreements, consulting agreements, referral agreements, statements of work and data processing agreements , as well as provide support on various administrative, intellectual property, and corporate legal matters as needed.

Responsibilities
- Support the legal team in structuring, negotiating (including with prospects and third party vendors) and closing transactions from a legal and business perspective under legal team oversight (example agreements: Ordering Documents, NDAs, MSAs, DPAs, SOWs, Consultancy Agreements, Vendor agreements)
- Escalate to and coordinate with legal team managers, security and other team members and senior management and develop relationships across teams to facilitate transparency and company goals.
- Ensure compliance with contractual terms and develop best practices for fulfilling non-standard deal requirements.
- Strategize with legal team members and internal business clients
- Stay abreast of developments affecting the company, its clients, and industries and incorporate such information into the company's transactional practices
- Support, promote, and implement legal group initiatives
- Liaise with various internal clients effectively to address legal and business questions
- Ensure contracts accurately convey business terms while protecting company's interests
- Handle miscellaneous legal tasks on an as needed basis under direction of attorneys
- Maintain and track status of contracts
- Ensure continuity and improvement in the quality, efficiency, and effectiveness of the contracting process
Your Experience And Skills Required
- 2-4 years of experience gained in a large law firm and/or in-house position relevant to conducting initial reviews and assisting legal teams with drafting, reviewing and negotiating, commercial
- transactions with emphasis on software as a service inbound/outbound licensing and related agreements in the SaaS-based high tech industry.
- Prior experience negotiating contract issues involving intellectual property, indemnification, liability and confidentiality terms.
- Thorough understanding of the contract management process, including tracking, negotiation, approval, and signature processes.
- Plus: experience with privacy and data protection regulations and negotiating data protection addendum.
- Plus: experience with deal desk, order forms and Salesforce administration, excel and similar tools.
- Team player willing to pitch in when/where needed
- Ability to establish and maintain collaborative working relationships within the organization's legal department and across all businesses
- Strong interpersonal, negotiation and presentation skills
- Self-starter; purpose-driven; willingness to take ownership for a project and drive it to completion
- Strong writing, drafting and communication skills
- Detail-oriented, organized, efficient and resourceful with strong follow-through skills
